We are a specialist and boutique company secretarial and corporate governance advisory firm that has been in business for over 17 years. We act as outsourced company secretary to numerous companies, including JSE listed companies.
What we provide:
We provide an end-to-end service, from basic CIPC matters to very advanced corporate governance advice, Board and committee meeting support (agendas, minutes and compliance) is one of our specialist areas, where we don’t just act as minute takers but add value.
We are a team of eight that operates from two offices, in Hurlingham Manor and one in Rosebank.
Elise Waldeck-Payne Diploma in Corporate Law (RAU)
Elise Waldeck completed a post-graduate diploma in Corporate Law during 2002 at UJ (RAU). She attended Advanced Company Law I and II on the Companies Act 71 of 2008 during 2012 at Wits which was headed by Prof. Michael Katz. Elise established CorpStat Governance Services in 2001 after heading up the secretarial services department of Grant Thornton for many years.
Her expertise lies with meeting administration, governance advisory and compliance in accordance with King III and the Companies Act 71 of 2008. She has vast knowledge and recognition of company statutory audits, CIPC preparation and liaison and drafting Special Resolutions.
Elise is a regular speaker at seminars and provides various training courses on related topics in this field.
She is also a member of the Institute of Directors.
William Somerville FCIS, ACMA and a Diploma in Corporate Law (RAU)
William Somerville is a qualified chartered secretary and holds an FCIS, ACMA and a Diploma in Corporate Law (RAU). He was formerly Group Company Secretary of Absa, a position he held for 12 years until October 2007.
He has extensive experience in company secretarial and corporate governance matters. This includes providing support to the board of directors and committees, corporate governance advice, annual reports and director orientation and training.
He has experience in the JSE Listings Requirements as well as considerable knowledge of employee share schemes and BEE schemes.
William is a member of the Institute of Directors, Southern Africa (IoDSA) and serves on the IoDSA’s Board Appraisal Panel.
Karen Waldeck-Kruger Attorney LLB. (UJ)
Karen Waldeck-Kruger is an admitted attorney of the High Court of South Africa. After obtaining her LLB degree at the University of Johannesburg, she completed her articles of clerkship at Derek Mazaham Attorneys, an established law firm based in Parktown North. She also attended the full time practical legal training course at the School for Legal Practice. During her studies she attended the Webber Wentzel Student Vacation Programme. She also completed a course on Administration Company Secretarial Practice and Corporate Governance.
She enrolled for a Master of Law (LLM), specialising in Corporate Law. She successfully completed all the required subjects for the degree. These subjects include Company Law, Corporate Finance Law and Securities and Financial Markets Law. She is concluding the submission of a dissertation as the final requirement for obtaining her LLM.
Karen gained experience in the company secretarial field over the past ten years while working at CorpStat Governance Services and previously as an assistant to the Group Company Secretary at Pangbourne Limited.
She is experienced in board and committee meeting support and has extensive knowledge of the Companies Act and drafting of MOI’s.
Anzebet Allardyce Admitted Attorney, with the Right of Appearance in the High Court
During her studies at the University of the Free State, she completed a Bachelor of Commerce (Law) cum laude and an LLB degree. She was employed with WKH Landgrebe & Co (CA) SA, in the tax department. During this time valuable experience of tax matters was gained while assisting in the drafting of contracts. From July 2009 to present, i.e. for over 7 years, Anzebet was employed by MJ Hood & Associates Attorneys, where she was a Senior Associate. She dealt with labour law and estates and trusts. She also specialised in the drafting of commercial contracts, including service rendering, employment, contractors, sales, offers to purchase, lease agreements, powers of attorney, policies, terms and conditions of service etc.
Zak Opperman joined CorpStat Governance Services in 2003 and has gained great experience in the company secretarial field over the past 11 years.
He has attended various seminars relating to the Duties of the Company Secretary and Secretarial practices.He is experienced in CIPC lodgements, secretarial audits, and secretarial support and
He is experienced in CIPC lodgements, secretarial audits, and secretarial support and specialises in share transactions such as buy-backs, allotments, and redemptions.
His experience has mainly been focused on the Companies Act 71 of 2008.
Dorette van Deventer
Dorette van Deventer is currently studying through Unisa to complete her Chartered Institute of Secretaries (CIS) qualification. She will complete CSSA Programme 2 (Professional Qualification in Governance and Administration) and continue to complete the CSSA Programme 3 (Professional Advanced Qualification: Governance and Administration).
She also holds a Certificate in Bookkeeping to Trial Balance from Damelin and has various experience in tax, accounting, secretarial, governance and office administration. Her value-add to the business is exceptional.
Mashadi Kekana is a governance professional holding a CSSA Professional Qualification: Governance and Administration (NQF 7). She is currently completing her Board Exams with CSSA to achieve her “GradICSA” status.
Mashadi has experience in board and committee meeting & secretarial support, CIPC lodgements, trust amendments and working knowledge of the Companies Act 71 of 2008 and King III/IV.
